Legal Counsel - Temp - IFS - Remote - Global

The Attorney will provide legal counsel to the acquired businesses in the areas of corporate governance, commercial contracting, regulatory compliance, and general corporate matters. Drafts, reviews, negotiates, and advises on internal governance documents, corporate resolutions, and other legal documents related to day-to-day operations and commercial transactions. Develops and maintains legal templates, playbooks, and best practices to support acquisition workflows. Provides legal oversight on integration activities, including commercial terms and operational harmonization. Negotiates with existing, new and renewing customers. Has a deep understanding of the technology space and is able to close deals with limited supervision. Drafts and reviews legal correspondence, memoranda, and opinions as needed. Advises and collaborates with Finance, Tax and Mergers and Acquisitions team on legal matters arising from corporate transactions. Manages and oversees due diligence documentation and closing records for acquisitions. Oversees maintenance and accuracy of corporate record books and entity management systems. Establishes and maintains legal filing systems and document retention protocols. Performs other legal projects or duties as assigned, including cross-functional matters involving finance and accounting.
