We are now looking for Senior Manager, Governance & Compliance, to join in UPM Plywood to drive and develop range of governance and compliance topics for WISA Group Plc, a publicly listed company to be established as a result of the partial demerger of UPM-Kymmene Corporation. What you will do In this role, you will develop and maintain the company’s compliance and governance framework, oversee the implementation of policies, standards, and internal controls, and support the organization in meeting regulatory and corporate governance requirements. You will coordinate compliance-related processes, monitor adherence to applicable laws, regulations, and internal policies, and promote a strong culture of integrity, ethics, and accountability across the organization. You will also provide guidance to business leaders, support risk management activities, and act as a trusted advisor on governance and compliance matters. As Senior Manager, Governance & Compliance, your primary field of work consists of the following: - Board and Committee meeting preparations, i.e. drafting of meeting documents and presentations - Project lead for the general meeting preparations, including assistance in document drafting and review as well as arrangements, together with our dedicated team of specialists - Principal role in WISA’s insider administration, including assistance in up-keeping of different lists required by applicable laws and regulations (potential insider lists, lists of persons subject to closed periods, list of managers and their closely associated persons etc.), assistance in e.g. reporting of managers’ transactions and other Market Abuse Regulation related issues - Ramping-up and upkeeping WISA Group’s compliance processes and related technical tools & training concepts - Being an integral part in other corporate governance & compliance processes Who you are - You have several years of experience working with corporate governance and/or compliance-related issues in a listed company’s legal department and/or in a law-firm, including the preparations of AGMs/EGMs - You have good understanding on stock exchange regulation, including Market Abuse Regulation (MAR) - You have excellent people skills, ability to take responsibility and work sometimes under pressure and tight time schedules - You have a development-oriented mindset, ability to create and further develop processes and “can-do” attitude - You have excellent Finnish and English skills, both written and oral - You have excellent capabilities to use standard office programs as well as AI - Experience on the use of e.g. Euroclear’s systems, Nasdaq’s Boardvantage, other tools and technologies is considered as asset Additional information about the position The position is located in Helsinki, Finland preferably. The position holder will report to WISA’s General Counsel.

Requirements
- Several years of experience in corporate governance or compliance in a listed company's legal department or law firm

- Excellent people skills and ability to work under pressure
- Development-oriented mindset and can-do attitude
- Excellent written and oral skills in Finnish and English
- Proficiency in standard office programs and AI
