About the role

In the corporate acquisitions legal services team, we design and implement customized, cost-effective, and reliable solutions for all stages of corporate acquisitions. Our domestic lawyer network covers all of Finland, and for international deals, colleagues from the international KPMG network assist as needed. Typical assignments include legal advice on buy-side and sell-side M&A transactions and funding rounds. Additionally, we assist clients in preparing for acquisitions and in post-closing activities. As an M&A Legal Counsel, you will: - Draft and comment on agreements and other documents related to corporate acquisitions and other corporate arrangements (e.g., letters of intent, sale and purchase agreements, shareholder agreements) together with experienced colleagues. - Perform legal due diligence and report findings clearly and from a business perspective. - Establish, maintain, and coordinate the content of virtual data rooms, especially on the sell-side. - Participate in negotiations and the legal preparation of negotiation strategies in cooperation with the team and other advisors. - Work closely with team members, experts from other service areas, and clients throughout the transaction lifecycle.
