About the role

This role sits within Agoda’s Legal Team and focuses on managing Agoda’s global subsidiaries from a corporate governance perspective. It includes entity compliance, assisting with board meetings, governance of subsidiary entities, intra-group reorganisations, and rationalisation of legal entities. The role also handles general corporate governance matters, liaising with Treasury, Legal, Finance and other stakeholders. It oversees and manages relationships with external providers related to global legal entity management. Responsibilities include coordinating board meetings and taking minutes, coordinating induction and training of Directors, collaborating with Tax/Legal teams on day-to-day queries, handling document execution (notarisation and apostillisation where required) and advising on signing authorities, ensuring entity compliance and regulatory filings, advising on board composition and appointments/resignations, assisting with audit inquiries, leading entity reduction through liquidation procedures, and addressing governance requests from regulators. Group Structure duties include participating in internal reorganisations, maintaining records, and preparing annual group structure charts. Qualifications include 4+ years of related experience, strong interpersonal skills, high attention to detail, understanding of company and corporate law, ability to prioritise, self-motivation, and team leadership capabilities.
